Yhtiökokous oli tehnyt päätöksen osakepääoman korottamisesta rahastoantia käyttäen (ns. ilmais- 1. vapaaosakkeet). Kun päätös OYL 29 §:n 2 mom:n säännös huomioon ottaen ei tuottanut osakkeenomistajille mitään oikeutta ennen kuin korottaminen oli merkitty kaupparekisteriin, yhtiökokouksella oli valta sitä ennen peruuttaa korottamispäätöksensä.
